IP Due Diligence

When faced with an acquisition, license, franchise or sale of a company or business, intellectual property rights are sure to be a part of the asset base.  But are you buying, licensing or selling what the contract specifies?  Are those rights in existence, recorded as claimed, enforceable, renewed, in use?  Do those rights belong to the seller or licensor? Do any of the parties to a commercial agreement involving intellectual property rights face risk in the execution and reliance upon that agreement?  Is a valuation of the IP required?  Is exchange control required?  We will perform the due diligence (including vetting contracts, searching registers, looking into license arrangements) to ensure that you get what you bargained for, and to provide parties and shareholders with the confidence required to move ahead responsibly with commercial IP agreements.
